1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the website graphicsuniversal.com (the “Site”) and the products and services provided by Graphics Universal, Incorporated (“Graphics Universal,” “GUI,” “we,” “us,” or “our”), including printing, custom labels, wide-format displays, direct mail, and fulfillment (collectively, the “Services”).
By accessing the Site, requesting a quote, uploading files, or placing an order, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site or the Services. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.
2. Definitions
- “Customer,” “you,” “your” means the person or entity using the Site or purchasing Services.
- “Customer Content” means any artwork, files, text, images, logos, designs, mailing lists, data, or other materials you submit to us for production, printing, mailing, or fulfillment.
- “Order” means a confirmed purchase of Services.
- “Quote” means a price estimate we provide.
3. Eligibility and Business Use
The Site and Services are intended for business and organizational use by individuals who are at least 18 years old and able to form a binding contract. You agree to provide accurate, current, and complete information in connection with quotes and Orders.
4. Services
Graphics Universal provides commercial printing and related Services as described on the Site. Descriptions, samples, and images on the Site are for general information and may not reflect the exact appearance of finished products. We may modify, add, or discontinue Services at any time.
5. Quotes, Orders, and Acceptance
- Quotes are estimates based on the information and specifications you provide and are valid for the period stated in the Quote or, if none is stated, for 30 days. Changes to specifications, quantities, materials, or file conditions may change the price.
- An Order is not binding until we accept it in writing or begin production. We may decline or cancel any Order, including for pricing errors, file problems, capacity, or content that violates these Terms.
- You are responsible for reviewing and confirming all Order details, including quantity, stock, size, finishing, and delivery requirements.
6. Pricing and Payment
- Prices are stated in U.S. dollars and exclude taxes, shipping, and handling unless stated otherwise. You are responsible for applicable sales and other taxes.
- Payment may be made through our third-party payment processor (accessible via pay.iqpro.com) or by other methods we approve. Payment card processing is handled by the processor under its own terms; we do not store full card numbers.
- Unless we agree otherwise in writing, payment is due according to the terms stated on the Quote, Order, or invoice. Late amounts may accrue interest and collection costs as permitted by law.
- Deposits or prepayment may be required for custom work.
7. Customer Content and Intellectual Property Rights in Your Materials
- Your responsibility. You are solely responsible for the Customer Content you submit. You represent and warrant that you own or have all necessary rights, licenses, and permissions to use and reproduce the Customer Content, and that the Customer Content does not infringe any copyright, trademark, patent, trade secret, publicity, privacy, or other right, and is not defamatory, obscene, or otherwise unlawful.
- License to us. You grant Graphics Universal a non-exclusive license to use, reproduce, store, modify as needed for production, and distribute the Customer Content solely to perform the Services.
- No duty to verify. We are not obligated to review Customer Content for accuracy, legality, or rights clearance, and we are not responsible for errors contained in files or proofs you approve.
- Mailing lists and personal data. If you provide mailing lists or other data containing personal information, you represent that you have the right to provide it and to have us use it for the requested Services, and you remain the party responsible for that personal information.
8. Proofs, Approvals, and Color
- It is your responsibility to review proofs carefully. By approving a proof, you accept responsibility for content, spelling, layout, color, and all other elements. We are not liable for errors in materials you approve.
- Color variation. Because of differences between on-screen display, proofing methods, substrates, inks, and printing processes, exact color matching cannot be guaranteed. Reasonable variation is inherent to printing and is not a defect.
- Production begins only after you approve the proof, unless you waive proofing in writing, in which case you accept the associated risk.
9. Production, Turnaround, Shipping, and Risk of Loss
- Turnaround times are estimates beginning after proof approval and receipt of any required payment, and are not guaranteed unless agreed in writing.
- We are not responsible for delays caused by file problems, late approvals, carriers, suppliers, or events beyond our reasonable control (see Section 20).
- Unless agreed otherwise, risk of loss passes to you upon delivery to the carrier. Title passes upon full payment.
- Trade custom: order quantities may vary by a commercially reasonable amount (commonly up to 10% over or under), and you agree to pay for the quantity actually delivered within that tolerance unless otherwise agreed in writing.
10. Cancellations, Changes, Returns, and Claims
- Requests to cancel or change an Order must be made promptly and in writing. You are responsible for costs and work incurred up to the time we receive the request, including materials, labor, and outside services.
- Because most products are custom-manufactured to your specifications, they are not returnable and are not eligible for refund except where the product is materially defective due to our error.
- Claims for defects, shortages, or damage must be made in writing within 7 days of delivery. Our liability for a valid claim is limited as described in Section 13, and our remedy may, at our option, be reprinting, repair, or credit.
11. Intellectual Property of the Site
The Site and its content (excluding Customer Content), including text, graphics, logos, images, and software, are owned by or licensed to Graphics Universal and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to access and use the Site for its intended purpose. You may not copy, reproduce, distribute, or create derivative works from Site content without our written permission.
12. Acceptable Use
You agree not to:
- Use the Site or Services for any unlawful purpose or in violation of these Terms.
- Upload or transmit content that is infringing, defamatory, obscene, harassing, or otherwise unlawful, or that contains malware.
- Attempt to gain unauthorized access to the Site, other accounts, or our systems, or interfere with the Site’s operation.
- Use automated means to scrape or harvest data from the Site without our permission.
- Misrepresent your identity or your authority to submit Customer Content.
13. Disclaimer of Warranties
Except as expressly stated in a written agreement signed by us, the Site and Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that finished products will exactly match on-screen representations.
14. Limitation of Liability
To the fullest extent permitted by law, Graphics Universal and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Site, the Services, or these Terms, even if advised of the possibility. Our total aggregate liability for any claim arising out of or relating to an Order or the Services will not exceed the amount you paid to us for the specific Order giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Graphics Universal and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Customer Content, including any claim that it infringes or violates the rights of a third party; (b) your use of the Site or Services; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party.
16. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Subject to Section 17, the state and federal courts located in Franklin County, Pennsylvania will have exclusive jurisdiction, and you consent to that jurisdiction and venue.
17. Dispute Resolution; Arbitration; Class-Action Waiver
- Informal resolution first. Before starting any formal proceeding, you agree to contact us at sales@graphicsuniversal.com and attempt in good faith to resolve the dispute informally for at least 30 days.
- Binding arbitration. If the dispute is not resolved, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services will be resolved by final and binding individual arbitration administered by a recognized arbitration provider under its applicable rules, rather than in court, except that either party may bring an individual claim in small-claims court.
- Class-action waiver. You and Graphics Universal agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims.
- Opt-out. You may opt out of this arbitration agreement by sending written notice to the address above within 30 days of first accepting these Terms; opting out does not affect the other provisions of these Terms.
- Exceptions. Nothing in this section prevents either party from seeking injunctive or equitable relief for the protection of intellectual property or confidential information.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.
19. Privacy
Your use of the Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
20. Force Majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, fire, labor disputes, supplier or carrier failures, utility or internet outages, governmental actions, or other events of force majeure.
21. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy and any written agreement or invoice between us, constitute the entire agreement between you and Graphics Universal regarding the Site and Services and supersede prior understandings. A signed written agreement between us controls over any conflicting term in these Terms.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
- Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- No third-party beneficiaries. These Terms create no rights in any third party.
- Headings. Headings are for convenience only and do not affect interpretation.
